    Legal Framework of CSR (Corporate Social Responsibility)

    CSR (Corporate Social Responsibility) is governed by Section 135 of the Companies Act, 2013 and Companies (Corporate Social Responsibility) Rules, 2014 and Schedule VII of the Companies Act, 2013.

    CSR POLICY

    Every Company governed by the CSR Provisions and Rules need to frame CSR Policy.

    CSR Policy means the Vision and Mission that will be carried throughout the year for CSR projects and activities

    CSR BUDGET

    As per Section 135 of the Companies Act, 2013, every Company need to allocate at least 2% of the average net profits of the last three financial years for CSR activities and funds will be utilized exclusively for CSR activities as prescribed under Schedule VII of the Companies Act, 2013.

    If for some reasons amount indicated above is not spent in that Financial Year, the reasons thereof will be outlined and in case the project is not an on going project then transfer such unspent to funds as per Schedule VII within a period of six months of the expiry of the Financial Year and in case the project is an ongoing project then transfer to an Unspent CSR account within a period of 30 days from the end of Financial Year and complete the ongoing project within 3 years.

    If company spent excess amount during the financial year then such excess amount will be set off up to immediate succeeding three financial years.

    CSR COMITTEE

    CSR EXPENDITURE


    a) Budget allocated will be exclusively used for CSR activities and in compliance with the requirements of Section 135 of the Act and CSR Rules.

    d) Surplus arising out of CSR activities shall not form part of the business profits of the Company.
